1. Acceptance of Terms
These Terms and Conditions (“Terms”) govern your access to and use of this website and any content, materials, features, or services made available through it (collectively, the “Site”). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site.
2. Who We Are and What We Do
USACaribbean is a business consulting firm providing:

R&D Tax Credit Consulting (advisory related to potential eligibility, documentation frameworks, and process alignment);

Corporate Healthcare Savings Consulting (advisory regarding benefit-design strategies and cost-containment options aligned with applicable laws and regulations); and

Construction Consulting & Project Development (advisory services related to planning, risk control, procurement support, owner’s representation, and project oversight).
No Legal, CPA, Investment, or Medical Advice. We are not a law firm, CPA firm, broker/dealer, insurance carrier, or healthcare provider. Information on the Site is for general informational purposes and is not legal, tax, accounting, investment, or medical advice. Engagement for professional services requires a written agreement signed by both parties that sets scope, fees, and responsibilities.
3. Client Responsibilities and Limitations of Services

R&D Tax Credits. Any credit calculation depends on facts provided by you and on current laws, guidance, and agency determinations. We do not guarantee IRS or state approval, refunds, or audit outcomes. You are responsible for maintaining accurate books, technical substantiation, and filings unless our written agreement states otherwise.

Corporate Healthcare Savings. We do not sponsor or underwrite health plans. Employers remain plan sponsors and fiduciaries, and are responsible for plan documents, compliance, and employee communications. We provide advisory inputs; program adoption and outcomes vary. No medical advice is provided.

Construction Consulting & Project Development. Unless expressly stated in writing, we are not a licensed general contractor, architect, or engineer. Third-party vendors, contractors, and authorities remain responsible for their work, approvals, and permits.
4. Fees and Payment
Fees, billing schedules, and expense policies are set forth in an executed services agreement. Unless otherwise stated, invoices are due upon receipt. Past-due balances may accrue late charges and collection costs as permitted by law.
5. Intellectual Property
The Site, including all text, graphics, logos, icons, images, compilations, and software, is owned by or licensed to USACaribbean and protected by intellectual-property laws. You may not copy, reproduce, modify, distribute, create derivative works, or publicly display Site content without our prior written consent.
6. Acceptable Use
You agree not to: (a) violate any law; (b) attempt to gain unauthorized access to the Site; (c) interfere with security-related features; (d) use any data-mining, scraping, or similar data-gathering methods without consent; or (e) upload malware or harmful code.
7. Third-Party Links and Tools
The Site may link to third-party websites or tools. We do not control and are not responsible for third-party content, privacy practices, or performance. Use of third-party resources is at your own risk and may be governed by separate terms.
8. Disclaimers
THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL USACARIBBEAN, ITS MEMBERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNT YOU PAID US FOR ACCESS TO THE SITE, WHICHEVER IS GREATER.
10. Indemnification
You agree to defend, indemnify, and hold harmless USACaribbean from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any rights of another.
11. Compliance and Export
You are responsible for compliance with local laws in your jurisdiction. Access to the Site from territories where its content is illegal is prohibited.
12. Changes to the Site or Terms
We may modify, suspend, or discontinue the Site (in whole or in part) at any time. We may update these Terms from time to time. The “Effective Date” above reflects the latest revision. Continued use after changes constitutes acceptance.
13. Termination
We may terminate or suspend access to the Site immediately, without notice, for conduct we believe violates these Terms or is harmful to other users, us, or third parties.
14. Governing Law; Venue
These Terms and any dispute arising hereunder are governed by the laws of the Commonwealth of Puerto Rico and applicable U.S. federal law, without regard to conflict-of-law rules. Exclusive venue shall lie in the state and federal courts located in Bayamón, Puerto Rico, unless otherwise agreed in a signed services agreement.
15. Severability; Entire Agreement; Waiver
If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force. These Terms and our Privacy Policy constitute the entire agreement regarding the Site. No waiver of any term is deemed a further or continuing waiver.
